These Terms govern use of the AurDesk website and service, a product of EWARDS ENGAGEMENT PRIVATE LIMITED (CIN U74999WB2022PTC255006), 46 C, Chowringhee Road, 10th Floor, Room No. 10A/1, Middleton Row, Kolkata, West Bengal – 700071, India ("we", "us"). By using AurDesk you agree to them on behalf of yourself and the organisation you represent ("Customer").
1. The service
AurDesk is a support ticketing and AI-assisted support platform. Access is provided to approved organisations. Features depend on the plan agreed with us.
2. Accounts and security
You must give accurate information and keep credentials confidential. The Customer is responsible for all activity under its accounts and for the users it adds. Tell us promptly of any unauthorised use.
3. Customer data
The Customer owns its data and grants us the right to process it only to provide and support the service. Our handling of personal data is described in the Privacy Policy and the Data Processing Agreement. The Customer confirms it has the rights and lawful basis to place that data, including customers' contact details, in the service.
4. Messaging channels (email, portal, WhatsApp)
The Customer is solely responsible for the content it sends and for complying with applicable law and the policies of channel providers, including the WhatsApp Business and Commerce Policies. This includes obtaining any required opt-in before business-initiated messages, honouring opt-outs, and not sending spam, unlawful or misleading content. We may suspend a channel that breaches these rules or puts the number or account at risk.
5. AI features
AI output is a draft to assist your team and may be inaccurate. The Customer remains responsible for reviewing it before it is relied on or sent to a third party.
6. Acceptable use
You must not misuse the service, access data you are not entitled to, probe or disrupt it, introduce malware, or use it unlawfully. See the Acceptable Use Policy.
7. Fees
Fees, billing cycle and taxes (including GST) are as agreed in the order or plan. Paid plans renew unless cancelled before the renewal date. Unpaid amounts may lead to suspension after notice.
8. Availability and support
We aim for high availability and will use reasonable efforts to fix faults, subject to any Service Level Agreement that forms part of your plan. Planned maintenance may cause short interruptions.
9. Intellectual property
We and our licensors own the service and its software. The Customer receives a limited, non-transferable right to use it during the term. Feedback may be used by us without obligation.
10. Confidentiality
Each party will protect the other's non-public information and use it only for the purposes of these Terms, except where disclosure is required by law.
11. Term and termination
Either party may end the agreement under the terms of the plan. We may suspend or terminate access for material breach. On termination the Customer can export its data for a reasonable period, after which it is deleted as described in the Privacy Policy.
12. Warranty and liability
The service is provided "as is" to the extent permitted by law. We are not liable for indirect or consequential loss, and our total liability is limited to the fees paid in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
13. Governing law
These Terms are governed by the laws of India. The courts at Kolkata have exclusive jurisdiction, subject to any dispute-resolution process in your order.
14. Changes
We may update these Terms. Material changes will be notified and may require re-acceptance at next login.
